AMERICA FOR SENIORS Service Provider Agreement

1. AGREEMENT TO TERMS
This Service Provider Agreement constitutes a legally binding contract between America for Seniors LLC, an Arizona limited liability company, and you as a Service Provider. By using our platform, you acknowledge that you have read, understood, and agree to be bound by this Agreement and our Privacy Policy.
These terms include a class action waiver, disclaimer of warranties, and limitation of liability.
Changes to Terms
We may update these Terms at any time. Continued use of our Services after changes constitutes acceptance of the new Terms.
Service Provider Qualification
You affirm that you are at least 18 years old, legally authorized to provide the services you offer, and have all necessary licenses, permits, insurance, and bonding required by Arizona law and local jurisdictions where you provide services.
2. SERVICE PROVIDER RESPONSIBILITIES
Service Requirements
As a Service Provider on our platform, you agree to:
- Provide accurate and complete profile information
- Maintain current licensing, insurance, and bonding as required by law
- Respond promptly to customer inquiries through the platform
- Provide services with professional competence and care
- Treat senior customers with respect and dignity
- Comply with all applicable laws and regulations
- Report any safety concerns or incidents immediately
Arizona Licensing Requirements
Service Providers providing services that require licensing under Arizona law must maintain current, valid licenses. This includes but is not limited to contractors, healthcare providers, financial advisors, and other regulated professions. Service Providers must provide proof of licensing upon request and immediately notify America for Seniors of any license suspension, revocation, or disciplinary action.
Insurance and Bonding
Service Providers must maintain adequate general liability insurance and, where applicable, professional liability insurance and bonding. Minimum coverage requirements may vary by service type. Service Providers must provide certificates of insurance upon request.
Senior-Specific Standards
Recognizing that our platform serves vulnerable adults, Service Providers must:
- Never take advantage of cognitive impairments or vulnerabilities
- Provide clear, honest pricing without hidden fees
- Allow reasonable time for decision-making
- Respect privacy and confidentiality
- Report suspected elder abuse or exploitation
3. PROHIBITED ACTIVITIES
Service Providers are strictly prohibited from:
- Engaging in any form of elder abuse, exploitation, or fraud
- Providing services outside their licensed scope of practice
- Soliciting customers outside the platform
- Misrepresenting qualifications, licenses, or insurance status
- Discriminating based on protected characteristics
- Sharing customer information without consent
4. PLATFORM RELATIONSHIP
Independent Contractor Status
Service Providers are independent contractors, not employees or agents of America for Seniors. We do not control how you perform your services, set your prices, or manage your business operations. You are responsible for your own taxes, insurance, licensing, and business expenses.
Platform Fees and Payments
America for Seniors may charge platform fees for certain services. Subscription offerings are listed in the Pricing Table. Fees may change over time. Payment arrangements between Service Providers and customers are handled directly between the parties. We are not responsible for payment disputes, collection, or processing.
Customer Relationships
Direct service agreements are between Service Providers and customers. America for Seniors facilitates introductions but is not a party to service contracts. Service Providers should establish clear written agreements with customers outlining scope, pricing, and terms.
5. CONTENT AND INTELLECTUAL PROPERTY
Service Provider Content License
By submitting content to our platform, including profile information, photos, and service descriptions, you grant America for Seniors a worldwide, non-exclusive, royalty-free license to use, display, and promote such content in connection with our Services.
Accuracy of Information
You represent that all information provided is accurate, complete, and current. You must promptly update any changes to licensing, insurance, contact information, or service offerings.
6. TERMINATION AND SUSPENSION
America for Seniors may suspend or terminate your access to the platform for violations of these Terms, customer complaints, licensing issues, insurance lapses, or other legitimate business reasons. We may also terminate the relationship at any time with or without cause.
7. LIABILITY AND WARRANTIES
The platform is provided "as is" without warranties. America for Seniors disclaims all warranties and is not liable for damages arising from your use of the platform or your business operations.
Indemnification
You agree to indemnify and hold harmless America for Seniors from all claims arising from your services, business operations, or violations of these terms.
8. GOVERNING LAW
These Terms are governed by Arizona law. Disputes shall be resolved in Maricopa County, Arizona courts on an individual basis only.
9. ARIZONA REGULATORY COMPLIANCE
Service Providers must comply with all Arizona regulations applicable to their services, including but not limited to contractor licensing (Arizona Registrar of Contractors), healthcare licensing (Arizona Department of Health Services), and financial services regulation (Arizona Department of Insurance and Financial Institutions).
